Business Terms and Conditions

These terms govern every professional subscription to Revenu. They form the contractual framework for account access, AI-assisted callbacks, usage allowances and billing.

1. Provider and professional scope

Revenu is operated by DELOBE FLORENT EI, trading as FlowCodeLab, at 200 rue de la Croix Nivert, 75015 Paris, France. Contact: support@revenu-pro.com.

The Service is offered exclusively to customers acting for purposes relating to their trade, business, craft or profession. By creating a workspace or activating a paid plan, the person acting for the Customer confirms that they have authority to bind that organisation. Consumer subscriptions are not accepted.

2. Contract documents and acceptance

The contract consists, in decreasing order of priority, of any signed order form or specific proposal, the data-processing agreement where applicable, these Terms, and the pricing and usage rules displayed when the order is confirmed. A specific written agreement prevails where it expressly departs from these Terms.

The contract is formed when the Customer expressly accepts the Terms and confirms an order in Stripe Checkout or when Revenu accepts a signed proposal. Checkout records the professional account, plan, Terms acceptance and relevant timestamp. The Customer can download these Terms and its invoices from the billing area.

3. Service

Revenu detects or receives missed-call events, initiates configured callback journeys, assists with qualification, records outcomes, handles appointment requests or authorised bookings, and reports attributed potential revenue. The exact features, limits and integrations depend on the selected plan and configuration.

Simulations, beta functions, external providers and preview integrations may be identified separately. A public booking link or calendar import does not constitute a guaranteed two-way integration with the third-party service.

4. Plans, usage and fair use

The current public plans and unit prices are available on the Pricing page. Unless an order form states otherwise:

  • Essential includes 50 handled missed calls and 250 AI minutes per monthly period; each additional missed call is €2.20 excluding VAT.
  • Pro includes 150 handled missed calls and 750 AI minutes per monthly period; each additional missed call is €1.90 excluding VAT.
  • Scale includes 400 handled missed calls and 2,000 AI minutes per monthly period; each additional missed call is €1.60 excluding VAT.
  • AI time above the plan allowance is billed at €0.25 excluding VAT per additional minute. Call and minute overages may apply independently.

A “handled missed call” is an inbound missed-call event for which Revenu starts a recovery journey. Retries belonging to the same journey are grouped and do not create a new event; a genuinely new inbound missed call may create a new journey. AI voice usage is measured to the second and billed at the stated per-minute equivalent. Usage is evidenced by Revenu’s technical logs and transmitted to Stripe through idempotent meter events. Allowances reset at each monthly renewal, have no cash value and do not roll over.

5. Prices, invoices and payment

Prices are stated in euros excluding VAT and applicable taxes. While the provider remains eligible for the French VAT exemption, invoices state “TVA non applicable, art. 293 B du CGI”. Any legally required tax or reverse-charge wording prevails. Subscriptions are invoiced monthly in advance; usage overages are invoiced in arrears on the renewal invoice. Custom onboarding, integrations or telecommunications may be quoted separately. No discount is granted for early payment unless expressly agreed.

Stripe processes the payment method and automatically issues the invoice. By confirming Checkout, the Customer authorises the monthly plan charge and the separately disclosed usage charges. The billing dashboard provides current usage estimates; the final invoice is based on validated meter events and may update asynchronously.

Payment is due on the invoice date by the payment method selected at checkout or stated on the invoice. Failed payment may result in restricted calling or suspension after notice. Any late amount automatically bears interest from the day after its due date at the European Central Bank refinancing rate applicable to the relevant half-year plus ten percentage points, without being lower than three times the French statutory interest rate. A fixed recovery indemnity of €40 is also due for each late invoice, without prejudice to additional documented recovery costs where legally recoverable.

6. Term, renewal and cancellation

Unless an order form specifies a commitment period, a subscription starts on activation for one month and renews automatically for successive one-month periods. The owner may request cancellation before the next renewal; cancellation takes effect at the end of the paid period. Amounts already invoiced and unused allowances are not refunded, except where mandatory law or a written service commitment requires otherwise.

Changing plan takes effect immediately or at the following renewal as displayed before confirmation. Revenu will disclose any material price change in advance; the Customer may cancel before it takes effect.

7. Customer obligations and lawful calling

The Customer determines the purpose, audience, timing and business content of its calls. It must provide accurate information, configure authorised hours and escalation rules, maintain a valid legal basis for every processing and communication, and honour objections and do-not-contact requests.

  • The Customer must not use Revenu for unsolicited consumer telephone marketing without the prior consent or other exception required by French and applicable law.
  • A missed call does not automatically prove consent to receive unrelated marketing. The callback must remain connected to the person’s request or another lawful purpose defined by the Customer.
  • The agent must identify the relevant business, clearly state that it is an AI assistant at the start of the interaction and provide a simple route to stop or request a human where configured.
  • If calls are recorded or transcribed, the Customer must ensure that callers receive the legally required information, including the purpose, recipients, retention and available rights.

The Customer is responsible for sector-specific obligations. Revenu must not be used for emergency dispatch, diagnosis, medical triage, legal advice, credit decisions or other high-risk decisions. Healthcare use requires a prior written review of the data flow, providers, contracts and applicable health-data hosting requirements.

8. Accounts, users and security

The organisation owner controls subscription and billing. Administrators and members receive only the permissions assigned to them. The Customer must keep credentials confidential, remove obsolete access promptly and notify Revenu of suspected compromise. It is responsible for authorised activity in its workspace.

9. Personal data

For account administration, security and Revenu’s own business operations, Revenu acts as data controller as described in the Privacy Policy. For caller, lead and appointment data processed on the Customer’s instructions, the Customer is normally controller and Revenu acts as processor. A data-processing agreement must be completed where Article 28 GDPR applies.

The Customer authorises the use of technical subprocessors necessary for hosting, authentication, telephony, AI processing, email and monitoring. Current categories and transfer safeguards are described in the Privacy Policy or applicable data-processing agreement.

10. AI output and customer review

Voice AI is probabilistic and may misunderstand, omit or generate inaccurate information. Revenu provides configuration, guardrails, logs and escalation mechanisms but does not guarantee that every call will connect, convert or result in a correct booking. The Customer must test its configuration, review material outcomes and avoid placing critical decisions solely on automated output.

11. Availability and third-party services

Revenu aims to provide a reliable service but does not guarantee uninterrupted availability unless a specific service level is agreed. Telephone carriers, AI providers, calendars and other third parties may experience outages, latency, number restrictions or API changes beyond Revenu’s reasonable control. Maintenance and urgent security actions may temporarily affect access.

12. Intellectual property

Revenu, its software, brand, interfaces and documentation remain the property of the provider or its licensors. The Customer receives a non-exclusive, non-transferable right to use the Service for its internal professional needs during the subscription. The Customer retains its content and grants Revenu only the rights necessary to provide, secure and support the Service.

13. Suspension and termination for breach

Revenu may immediately restrict a dangerous or manifestly unlawful use. For another material breach, including non-payment, the breaching party will normally receive notice and a reasonable opportunity to cure before termination. Termination does not affect accrued payment obligations. Data export and deletion are handled under the Privacy Policy, data-processing agreement and applicable law.

14. Liability

Each party is responsible for direct loss caused by its proven breach. To the maximum extent permitted by law, neither party is liable for indirect loss, loss of opportunity, anticipated revenue, goodwill or data where such loss could reasonably have been avoided by appropriate backups or review.

Except for fraud, wilful misconduct, gross negligence, breach of confidentiality or data-protection duties, infringement of third-party rights, unpaid fees, and liabilities that cannot legally be limited, Revenu’s aggregate liability arising in a twelve-month period is limited to the fees paid by the Customer during the twelve months preceding the event giving rise to the claim.

15. Force majeure

Neither party is liable for delay or failure caused by an event meeting the requirements of force majeure under French law. The affected party must notify the other and take reasonable steps to limit the effects. Either party may terminate the affected service if the event continues for more than sixty days.

16. Changes, evidence and notices

Revenu may update these Terms for legal, security or product reasons. Material changes affecting an active paid subscription will be notified in advance. Technical records, acceptance logs, call metadata and invoices kept in reliable systems may be used as evidence, subject to contrary proof.

Contractual notices may be sent to the billing email shown in the workspace. Notices to Revenu must be sent to support@revenu-pro.com.

17. Governing law and disputes

These Terms are governed by French law. Before starting proceedings, the parties will attempt in good faith to resolve the dispute for at least thirty days after written notice. Failing settlement, jurisdiction lies with the competent courts of Paris where a valid jurisdiction clause between the parties is permitted; otherwise mandatory jurisdiction rules apply.

Important review note

These Terms are a product-ready contractual draft built around the current B2B offer. Before the first paid production subscription—especially in healthcare, regulated calling or custom integrations—they should be reviewed by French counsel against the final Stripe checkout, invoice flow, data-processing agreement and operational retention settings.
